1. Welcome to WhitehouseCountdown com. (“WC”, the “Service” or “we.” By using this Service you agree to be bound by the terms and conditions of this Agreement (the “Agreement”.) If you do not agree to these terms, please do not use the WC website.

2. WC reserves the right to modify, or discontinue the service at any time with or without notice.

3. WC is protected by copyright under the laws of the United States. When you submit content to the site, you are giving WC the right to publish your content. You agree that any material you submit is material for which you have the necessary rights, permissions, and licenses for use on WC. You further agree you will not submit materials that is copyrighted by a third party or otherwise protected by third party proprietary rights. You further agree that you will not submit material which is false or could damage WC or any third party.

5. If you are a copyright owner and feel that some content on the Service infringes your copyright, please contact us at copyright@whitehousecountdown.com

6. You agree you will not submit material that is illegal, obscene, libelous, pornographic, criminal, hateful, threatening, harassing, racist, or otherwise objectionable, or likely to encourage criminal behavior or cause civil liability. If you do submit material that we find objectionable, you will be banned from the Service. If you become aware of any member submitted material that violates this Agreement, you will notify us at terms@whitehousecountdown.com

7. WC has the right to not publish or remove submissions without prior notice. We can remove your profile or terminate your access to WC if we determine, in our sole discretion, that you pose a danger to WC or its users. Even if your membership is terminated, this Agreement will remain in effect.

8. You agree to indemnify and hold WC harmless against any damages caused from any violation by you of this Agreement.

9. WC will take all reasonable steps to prevent the introduction of Worms, Viruses and other destructive materials to WC, but we can not guarantee that WC is free of such destructive forces and we can not be liable for any damages that may be caused by such materials, should they be present.

10. We are not responsible for the content of any site that links to WC. You agree that we can not be held liable, directly or indirectly, for any damage or loss caused by use or reliance on such sites.

11. You agree to maintain the confidentiality of your password. You will contact us immediately if you suspect any unauthorized use or misuse of your account.

12. You agree you are responsible for your interaction with other members. We have no obligation to monitor disputes between you and other members.

13. WC may revise this Agreement from time to time. You agree to be bound by any posted changes. You agree to review the Agreement regularly to check for changes.

14. WC is PROVIDED ON AN “AS IS” BASIS. NEITHER WC NOR ANY OF ITS AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS OR LICENSORS WARRANTS THAT THE SERVICES OR PRODUCTS PROVIDED PURSUANT TO THIS AGREEMENT WILL BE UNINTERRUPTED OR ERROR FREE, NOR DO THEY WARRANT THAT CERTAIN RESULTS MAY BE OBTAINED BY USERS IN CONNECTION WITH USE OF WC. WC DOES NOT MAKE ANY WARRANTY OR GUARANTEE FOR ANY PRODUCTS OR SERVICES ADVERTISED ON WC.

15. WE ARE NOT LIABLE TO ANY PERSON, FIRM OR CORPORATION, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR OTHER SIMILAR TYPE OF DAMAGES, INCLUDING YET NOT LIMITED TO DAMAGES BASED UPON LOSS OF PROFITS AND/OR LOSS OF BUSINESS ARISING OUT OF OR IN ANY WAY RELATED TO THE SERVICE.

16. Any disputes arising from this Agreement will be governed by the laws of the State of California. Any dispute or claim arising out of or relating to WC or shall first be settled through good faith negotiation. If the dispute cannot be settled through negotiation, the parties agree to attempt in good faith to settle the dispute by mediation administered by JAMS. If the parties are unsuccessful at resolving the dispute through mediation, the parties shall submit the dispute to binding arbitration administered by the American Arbitration Association (“AAA”) in Los Angeles California pursuant to the AAA’s Rules & Procedures. Judgment on the award rendered by the AAA may be entered in any court having competent jurisdiction. Costs of such mediation or arbitration shall be paid 50% by each party.

17. You agree to indemnify, defend, and hold WC and its affiliates, officers, directors, employees, agents and representatives harmless from and against all damages, costs, expenses, and liabilities arising from claims of third parties that arise out of your use of WC or arising from a breach of this Agreement.

18. If any of the provisions of this Agreement is or becomes illegal, unenforceable, or invalid (in whole or in part for any reason), the remainder of this Agreement shall remain in full force and effect without being impaired or invalidated in any way.
